These Terms of Service (“Terms”) govern your use of the NEXUS platform and related services (“Service”) provided by TOV «ZELTREX» (EDRPOU 46125819), Zhytomyr, Ukraine (“we”, “us”, “Company”). By using the Service, you agree to these Terms.
1. SERVICE DESCRIPTION
NEXUS is a cloud-hosted AI-powered corporate operations platform. The Service includes the NEXUS Desktop, Tab, and Bridge applications, along with associated APIs and integrations as described on our pricing page.
2. SUBSCRIPTION & BILLING
- Monthly billing with automatic renewal
- You may cancel at any time; access continues until the end of the billing period
- Prices may change with 30 days notice via email
- Free trial requires no payment method; converts to paid only with explicit consent
3. SERVICE LEVEL AGREEMENT
- Professional: 99.5% uptime, measured monthly
- Enterprise: 99.9% uptime, measured monthly
- Scheduled maintenance (announced 48h in advance) is excluded from uptime calculations
- If uptime falls below SLA, you may request a pro-rata credit for the affected period
4. YOUR DATA
You own your data. We do not sell, license, or share your content with third parties. You may export all your data at any time via the platform's export functionality. Upon account deletion, we erase your data within 90 days (except records required by law).
5. ACCEPTABLE USE
You agree not to:
- Use the Service for any illegal activity
- Reverse engineer, decompile, or disassemble any part of the Service
- Sublicense or resell access to the Service
- Attempt to gain unauthorized access to other accounts or systems
- Upload malicious code, viruses, or harmful content
6. TERMINATION
- Either party may terminate with 30 days written notice
- We may terminate immediately for material breach of these Terms
- Upon termination, you retain access to export your data for 30 days
7. LIMITATION OF LIABILITY
To the maximum extent permitted by law, our total liability is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
8. GOVERNING LAW
- For clients in Ukraine: governed by the laws of Ukraine
- For international clients: governed by the laws of England & Wales
9. DISPUTE RESOLUTION
- Good faith negotiation — 30 days to resolve directly
- Mediation — if negotiation fails, non-binding mediation
- Courts — jurisdiction per governing law clause above
10. CHANGES
We may update these Terms with 30 days notice via email. Continued use after the effective date constitutes acceptance. If you disagree, you may terminate your subscription before the changes take effect.
